SCI User Agreement
Dear SCI users,
Sublime China Information Co., Ltd. (abbr. as SCI) provides users with paid information services. To use SCI’s products and related services, please read and comply with SCI User Agreement (hereinafter referred to as this Agreement). This Agreement is an agreement between users and SCI regarding paid information services and other related matters. Please be sure to read carefully and fully understand the content of the terms, especially the terms of breach of liability and exemption of liability. These terms and conditions are bolded to draw your attention. You are not authorized to purchase, download, install or use this product and its related services unless you accept the terms of this Agreement. Your purchase, download, installation and use of SCI’s products will be deemed as your acceptance of this Agreement, and you agree to be bound by the terms of this Agreement. Once you purchase, install and use SCI’s product, you agree to accept the terms of this Agreement.
If you are under the age of 18, please read this Agreement with your legal guardian.
I. SCI Service Term Confirmation
The ownership and operation rights of the various network and electronic services of SCI belong to SCI. Any unit or individual shall not conduct commercial or non-commercial activities in the name of SCI and its websites and products without authorization of SCI. The services provided by SCI will be in strict accordance with the terms of service and operation rules published by SCI and our official website. You shall confirm all terms of service and complete the registration process to become an official user of SCI. For official users, SCI has the right to decide the free contents provided and the display location and method, and SCI has the right to cancel the free services at any time.
II. SCI Copyright Statement
2.1 This product is independently developed by SCI. All copyrights and other intellectual property rights of this product, as well as all information related to the product, including but not limited to data, text reports, pictures, sound, videos, graphics, signs, logos, advertising, trademarks, trade names, domain names, software, programs, layout design, column catalogs and name, content classification standards and all information provided for registered users, are protected by the Copyright Law of the People’s Republic of China, Trademark Law of the People’s Republic of China, Patent Law of the People’s Republic of China and applicable international conventions regarding copyright, trademark rights, patent rights and other property ownership laws, and are exclusively owned or held by SCI and its related right holders.
2.2 If you use information and services provided by SCI for non-commercial, non-profit, non-advertising purposes and purely for personal study, research or appreciation, you shall abide by the provisions of the copyright law and other relevant laws, and shall not infringe upon the legitimate rights and interests of SCI and its related rights holders.
2.3 If you use information and services provided by SCI for commercial, profitable, and advertising purposes, you need to obtain special written authorization from SCI and its related rights holders, indicating the author and the information source of “SCI”, and pay the relevant right holders according to relevant international conventions and provisions of the laws of the People’s Republic of China. Otherwise, relevant personnel shall bear infringement responsibility against SCI.
2.4 Without the express written authorization of SCI, no one is allowed to change, issue, broadcast, reprint, copy, reproduce, modify, distribute, perform, display or use part or all of SCI’s information or services or mirror them on servers not belonging to SCI. Otherwise, it will be considered as an infringement, and relevant personnel shall bear infringement responsibility against SCI in accordance with the law or contractual agreement.
2.5 All software used by SCI belongs to SCI and the software providers, and is protected by the Copyright Law of the People’s Republic of China and international copyright conventions. Except for special instructions for sale or free downloading, use, etc., any other use, including but not limited to copying, modification, distribution, dumping, publishing, display, demonstration, and reverse engineering, is strictly prohibited. The illegal use from any entity or individual is deemed as an infringement of SCI and related software.
III. Service Agreement
3.1 For SCI’s software products, SCI grants you a general usage license to use related products.
3.2 SCI uses our own computer operating system to provide network services to users through the Internet. Due to the different service sections and contents, users are required to:
(1) Equip yourself with the necessary equipment to access the Internet, including a personal computer, modem or other necessary Internet access device.
(2) Pay for the telephone expenses and network expenses related to this service.
(3) Provide detailed and accurate personal information.
(4) Continuously update the registration information to meet the timely, detailed and accurate requirements.
3.3 If the information you provide contains incorrect information, SCI will reserve the right to terminate your service.
3.4 Once you have successfully registered and become a legal user of SCI, you will get a username and password. The registered account can only be used by the registrant. Without the written consent of SCI, it is prohibited to give, borrow, rent, transfer, sell or otherwise permit others to use the account in any form. If SCI discovers or has reasonable grounds to believe that the user is not the initial registrant of the account, SCI has the right to suspend or terminate the services to the registered account without notification and has the right to cancel the account and the services without bearing any legal responsibility to the user who has registered the account. And the relevant fees paid by users will not be refunded. In serious cases, relevant personnel shall bear infringement responsibility against SCI in accordance with legal provisions or contractual agreements.
3.5 You are solely responsible for the security of your username and password. In addition, each user is fully responsible for all activities and events conducted under his/her username. You can change your password at any time according to the rules. If you find any illegal use of your account or the existence of security vulnerabilities, please immediately modify your password and notify SCI.
3.6 If you deliberately disclose your username and password, or use software to grab or scan the content (including but not limited to information, data, reports, etc.) of the product without permission, SCI shall be entitled to terminate the service hereunder while the fees already paid shall not be refunded. In serious cases, relevant personnel shall bear infringement responsibility against SCI in accordance with legal provisions or contractual agreements. If you have any objection to the above actions of SCI, you can appeal to SCI (Tel: +86-533-5075233). If the appeal is successful, SCI will continue the services.
3.7 Like most Internet softwares, the product may be affected by a variety of factors, including but not limited to user reasons, network service quality, social environment, etc.; it may also be affected by various security issues, including but not limited to the illegal use of your information by others to carry out harassment in reality; other softwares you download and install or other websites you visit may contain viruses, Trojan horse programs or other malicious programs, which may threaten the security of your computer information and data, thereby affecting the normal use of the product. Therefore, you should strengthen the awareness of information security and personal information protection, and pay attention to password protection to avoid losses.
3.8 You can download and obtain related software products directly from SCI’s website or a third party authorized by SCI. If you obtain it from a third party that is not authorized by SCI, SCI cannot guarantee that the software can be used normally, and shall not be responsible for the losses caused to you.
3.9 In order to ensure the safety and functional consistency of the product and service, SCI is entitled to update the product or to change or limit some of the functions of the product without special notice to you. If the software cannot be used normally or the updated version cannot be used due to factors such as not updating on time, not accepting updates, or your network settings, etc., the consequences caused by these will be borne by you, and the relevant fees you have paid will not be refunded.
3.10 If you decide to use an updated product or use a newly launched product or service, you shall abide by the applicable regulations of the updated product or new product or service, including applicable charging standards and technical standards.
3.11 If you have subscribed to SCI's reports such as the weekly, monthly and annual reports, you can obtain the reports by downloading from SCI's website or receiving the reports by email. If the way of providing the report changes, SCI will notify you 7 working days in advance, and the actual way of providing the report shall be subject to the way notified by SCI.
3.12 If you violate the provisions of SCI Copyright Statement of this Agreement or infringe SCI’s intellectual property right, SCI shall be entitled to terminate the service hereunder without notice while the fees already paid shall not be refunded. In serious cases, relevant personnel shall bear infringement responsibility against SCI in accordance with legal provisions or contractual agreements.
3.13 Upon verification by SCI, for industry peers, etc., SCI shall be entitled to terminate the service hereunder without notice and without bearing any legal responsibility to the user who has registered the account, and the fees already paid shall not be refunded. If other losses are caused to SCI, you are obliged to compensate according to the actual loss amount.
3.14 You understand and agree that any commercial risks that may arise after you make payments or recharge your account on SCI’s platform via third-party payment instruments may result in economic losses for you. SCI shall assume relevant responsibility within the circumstances and scope stipulated by law if SCI completely fulfills its commitments under this agreement and complies with legal regulations.
3.15 You are not permitted to transmit or authorize the software use license to anyone other than yourself.
IV. Anti-Plagiarism Clause
Dear users, if your account contains any of the following situations, SCI will consider you to be plagiarizing and will immediately terminate your service without any legal liability to the user who registers the account. The service-related fees you have paid will not be refunded, and SCI also reserves the right to prosecute your infringement liability:
(1) Your account is logged in at the same IP address beyond the normal browsing frequency;
(2) Your account continuously experiences abnormal logins in different regions with different IP addresses;
(3) You illegally use SCI’s data and information by other means.
V. Protection of Registered Users’ Personal Information
5.1 SCI shall strictly protect your personal information in accordance with laws and regulations, relevant national standards, this Agreement and SCI’s Privacy Policy to ensure that your personal privacy is not infringed. Without legal authorization, SCI shall not disclose your registration information and the non-public content stored by SCI, unless it is required by law or although it is not authorized by legitimate users, it is deemed necessary to disclose such information on the basis of integrity:
(1) You authorize SCI or authorize someone to disclose this information through e-mail.
(2) The corresponding laws and procedures require SCI to provide your personal information.
(3) Comply with relevant laws and regulations as well as SCI’s legal service procedures.
(4) Maintain the trademark ownership of SCI.
(5) Make every effort to ensure your personal and social privacy and security in an emergency.
(6) Submit evidence for litigation and arbitration.
(7) Meet other relevant requirements.
5.2 You may need to provide some necessary information, such as your name and contact number, when you register an account or use the product service. This information is necessary for the conclusion and performance of the contract. Unless national laws, regulations or policies have special provisions, you need to provide real identity information. You agree that SCI collects the above information for the above purposes. If you do not provide or provide incomplete information, you shall not be able to use the service or be restricted from using the service.
VI. Risk Assumption
6.1 All the information or data provided by SCI is for your reference only. It does not constitute any investment advice and does not provide any specific guidance for your business operation. If the information or data affects the judgment of both parties in the dispute on any issue or the direct or indirect investment gains and losses of the buyers and sellers, SCI shall not assume any responsibility.
6.2 Without written permission, any institution or individual shall not copy, publish or distribute the information or data provided by SCI in any form, and shall not quote, abridge or modify the information or data contrary to the original intent, or use it for other purposes. SCI reserves the right to investigate infringement liability.
6.3 SCI does not guarantee that the service will meet the requirements of users, nor that the service will not be interrupted. SCI shall ensure the timeliness and safety of the product and service as far as possible, but shall not make any specific promise for timeliness, security, etc.
6.4 SCI has the right to correct, replace, and take offline on the data items, release time and other contents of the published data and information according to the specific conditions of the data and information.
6.5 If the data that needs to be continuously provided in the future by SCI in the information service cannot be continuously provided, due to some force majeure such as the elimination of the third-party legal entity that provides the data and changes in laws, regulations, departmental regulations, and national policies, SCI shall not be responsible for this when the amount of such data accounts for less than or equal to 5% of the total amount of your subscription data, but SCI will recommend corresponding data alternatives for you as much as possible. If the amount of such data accounts for more than 5% of the total amount of your subscription data, SCI will provide you with data alternatives or extend the service period.
6.6 Please understand and accept that SCI shall not guarantee to permanently provide certain services for the purpose of upgrading technology and service system, adjusting the business strategy or cooperating with major national technologies, regulations and policies changes. SCI shall have the right to change the form, specification and other aspects (such as upgrade of products and pricing of the services) of the services provided and to launch new products or services. Before terminating such services or making such changes, SCI shall do its best to inform you in advance by one or more means such as website announcement, email, etc.
VII. Exemption Clause
7.1 SCI is not responsible for any direct or indirect losses you suffer in the process of accepting services. These damages may result from improper use of network service, purchase of goods or similar services on the Internet, transactions on the Internet, illegal use of network services or change of information transmitted by users, etc.
7.2 SCI is not responsible for the deletion or storage failure of the information you have released. SCI is entitled to determine whether your behavior meets the requirements and spirit of SCI’s terms of service. If you violate the terms of service, SCI is entitled to terminate the network service.
7.3 For the information provided by yourself, you shall be solely responsible for it in accordance with the law, and SCI shall not assume any responsibility for the accuracy, completeness, legality or authenticity.
7.4 Any opinion you post on SCI’s product forums is individual behavior, it cannot be on behalf of SCI, and that does not mean SCI holds the same view.
7.5 The product and all the information or data in the product may be affected by unstable factors in various links, as its transmission involves internet service factors. You shall understand and bear the risks of service interruption caused by force majeure, computer viruses, hacker attacks, system instability, user location, user shutdown and any other network, technology, communication line problem, etc., which may lead to failure of meeting users’ requirements. In no event shall SCI be liable for any special, incidental, direct or indirect damage for any use or inability to use this product.
VIII. User Commitment
8.1 You shall be responsible for the information published. Your use of the service shall be subject to all national laws, local laws and international principles applicable to SCI.
8.2 You shall follow:
(1) You shall provide true personal information and shall be fully responsible for the information published on this website;
(2) The cross-border transmission of data and information from China shall comply with relevant laws and regulations of China;
(3) You shall not use network service for any illegal purpose;
(4) You shall not interfere with or attack network service;
(5) You shall abide by all network protocols, regulations, procedures and practices of network service.
8.3 You shall not transmit any illegal information, harassing, slanderous, abusive, threatening, hurtful, vulgar, obscene, etc. In addition, you shall not transmit any information that instigates others to constitute a criminal act; you shall not transmit any information that involves national security; you shall not transmit any information that does not comply with local regulations, national laws and international laws. You shall not access other computer systems unless permitted by law or with permission. You shall be responsible for your behavior on the internet. If you spread and disseminate reactionary, pornographic or other information that violates national laws, the system records of the product may be used as evidence of your violation of the law. SCI has the right to make independent judgments on any unlawful act and immediately terminate user service.
8.4 Unless permitted by law or with written permission from SCI, you shall not engage in the following behaviors:
(1) Delete the copyright information of the product and its copies;
(2) Reversely engineer, decompile and disassemble the product or attempt to learn the source code of the product in any other way;
(3) Rent, lend, copy, modify, link, reprint, compile, deliver, publish, establish mirror sites the contents that SCI has intellectual property;
(4) Copy, modify, add, delete and hook the product or the data released into the memory of any terminal during the operation of the product, the interaction data between the client side and the server side during the operation of the software and the necessary system data during the operation of the software, or create any derivative works, including but not limited to using plug-ins or third-party tools/services that are not authorized by SCI to access the software and related systems;
(5) Add, delete and change the functions or operating effects of the software by modifying or forging the instructions and data in the operation of the software, or operate or disseminate the software and methods used for the above-mentioned purposes to the public, whether these behaviors are for commercial purpose or not;
(6) Log in or use this product and service through third-party software, plug-ins and systems that are not developed and authorized by SCI, or make, publish or disseminate the above tools;
(7) You, yourself, or authorizing others or using third-party software to interfere with this product, its components, modules, data, etc.
(8) Other behaviors that may affect or interfere with the normal operation of the software.
Once the above behaviors are detected, SCI has the right to immediately terminate the service without notice, and the service-related fees you have paid shall not be refunded. In serious cases, relevant personnel shall bear infringement responsibility against SCI in accordance with legal provisions or contractual agreements.
8.5 User Special Commitment: Once you register at SCI, you shall expressly or implicitly agree and allow SCI to use your trade name, trademark, etc. in SCI’s information and derivative products developed, as well as in business promotion, publicity, work result demonstration, and other needs. However, SCI shall ensure its fair position during the usage, shall reflect the objective fact, and shall not maliciously slander or damage your reputation.
8.6 You shall ensure that you comply with national laws and regulations related to software protection during the software licensing period.
IX. Data Security
User commitment: According to the Civil Code of the People's Republic of China, Cybersecurity Law of the People’s Republic of China, Data Security Law of the People's Republic of China, Personal Information Protection Law of the People's Republic of China, and related laws and regulations, users shall take appropriate technical measures and other effective measures necessary to ensure that the data is effectively protected and legally utilized, and to prevent the data from accidental or illegal destruction, loss, alteration, theft, unreasonable disposal, unauthorized disclosure or access, arbitrary leakage and other security risks (hereinafter referred to as data security incidents). In case of any situation that makes it difficult to guarantee data security or if a data security incident has occurred, the user shall immediately notify SCI and negotiate with SCI to take measures to eliminate the aforementioned security risks and potentially effective emergency measures to deal with the data security incident. In case of any situation that makes it difficult to guarantee data security or if a data security incident has occurred, SCI has the right to suspend the provision of data under the Contract, and the data security risk caused shall be borne by the responsible party.
X. Service Termination or Suspension
10.1 Either you or SCI can terminate or suspend one or more network services according to the contract or the actual situation. SCI shall not be responsible for any individual or third party, if suspending the service at any time. If you disagree with the subsequent amendment of the terms or are dissatisfied with SCI’s services, you shall exercise the following rights:
(1) Stop accessing the service of the product;
(2) Notify SCI to terminate the service.
10.2 Your right to use SCI’s related products or services is immediately terminated or suspended once the user service ends. You have no right, and SCI has no obligation to transmit any more information service to you or a third party from the time of termination or suspension.
XI. Form of Notice
When SCI needs to notify the amendments of its terms of service, service changes or other important event changes, SCI shall notify users through important page announcements, e-mails, regular letters, etc. according to the actual situation.
XII. Application of Law
The product service terms are consistent with the legal interpretation of the People’s Republic of China, and you and SCI agree to obey the jurisdiction of the laws of the People’s Republic of China. In the case that SCI’s service terms conflict with the laws of the People’s Republic of China, these terms shall be completely re-interpreted in accordance with the law, while other terms shall still have legal effect and influence on you.
XIII. Confirmation of Service Permission
SCI shall send you a notice of “your subscribed information service has been activated” after your payment, please click to confirm within 7 natural days. Overdue confirmation shall be deemed as automatic confirmation, and SCI shall start providing information service from the date of the notification.
XIV. Special Reminder
Your use of this product is deemed as your full acceptance of this Agreement. If the terms of this Agreement are changed, reconfirmation shall be prompted. If you disagree with the revised agreement, the product service will be terminated.
